Partner Programme
These govern your participation in the TrueVitals partner referral programme.
This agreement is between TrueVitals Group Ltd (company number 16449605, registered office Ground Floor, Rear Barn, The Brookdale Centre, Knutsford, Cheshire, WA16 0SR), referred to as "we" or "TrueVitals", and you, the partner named in your application.
By accepting these terms you confirm that you are a director, owner, or otherwise authorised to enter into this agreement on behalf of the business you have registered. If you are applying as an individual, you confirm you are over 18 and acting on your own behalf.
You may refer customers to TrueVitals. When a customer you refer completes a purchase using a referral code issued to you through the partner portal, we pay you commission.
That is the whole arrangement. This is not employment, a partnership in the legal sense, a joint venture, or an agency. You are an independent business. Nothing here gives either of us authority to bind the other.
Codes are issued to you through the partner portal, one per named customer. Each code is single use and expires 90 days after issue.
You may share a code only with the customer it was created for. Codes must not be posted publicly, listed on voucher or discount sites, sold, or distributed to anyone other than the named individual. We may cancel any code and withhold commission on any referral where this has happened.
Commission rates are shown in your partner portal and currently are:

All commission amounts are inclusive of any VAT. The figures above are the total we will pay, whatever your VAT status.
If you are not VAT registered, no VAT applies. The amount shown is simply what you receive.
If you are VAT registered, the amount shown is VAT-inclusive. Your payout statement will show the net amount and the VAT element separately, and you should raise an invoice to TrueVitals Group Ltd for that total. Tell us your VAT number and we will include it.
Commission is earned when a referred customer’s order completes and payment clears. Commission is payable on every qualifying order that customer places using a code issued to you, for as long as you remain an active partner.
We may change commission rates by giving you 30 days’ notice. Changes apply to referrals made after the notice period. Commission already earned is not affected.
We will not pay, and may reclaim, commission where:
Where commission has already been paid in any of these circumstances, we may offset it against future commission or ask you to repay it.
Commission is credited automatically as soon as a referred order completes. Once your balance reaches £50 it is paid to the bank account you registered, through Stripe, without you having to request it.
Payouts are processed through Stripe Connect. You will complete a short onboarding with Stripe, who hold your bank details and carry out the identity checks. We never see or store your bank details.
You must provide accurate bank details and business information before any payout can be made. It is your responsibility to keep these up to date. We are not liable for payments sent to details you gave us that turn out to be wrong.
Commission balances do not expire, but we may pay out any balance over £50 that has been outstanding for more than 12 months without waiting for a request.
If you are not VAT registered, you do not need to invoice us. Your payout statement in the portal is your record of the payment, and you should keep it for your own accounts.
If you are VAT registered, you should raise an invoice to TrueVitals Group Ltd for the commission paid, showing the net amount, the VAT and the total. Your payout statement sets out those figures so the invoice can be raised from it directly. You must tell us within 30 days if your VAT registration status or VAT number changes, or if you transfer your business to another entity.
You are responsible for your own tax. Commission is paid gross with no deductions. You must declare it to HMRC and account for any income tax, National Insurance, corporation tax or VAT that applies.
We do not deduct tax at source and we are not your employer.
You may say that you are a TrueVitals partner and that you refer clients to us. You may use the logo and materials we provide in your portal.
You must not:
You are responsible for anything you say about us. If a claim you make causes us loss, that is your liability, not ours.
If you are registered with the GMC, NMC, GDC, HCPC or any similar body, it is your responsibility to satisfy yourself that accepting a referral fee is appropriate for your registration, and to make any disclosure to your patients that your regulator requires.
If you would prefer not to take a fee, tell us and we will set you up on a reciprocal basis instead, at no commission.
A customer you refer is a TrueVitals customer. We hold the contract with them, we handle their care, their data and their support, and we decide whether to accept an order.
You will not have access to their results, their report, or their personal data beyond the first name and order information shown in your portal.
Anything we share with you that is not public, including commission structures, unreleased products and customer information, stays confidential.
You must handle any personal data you obtain in connection with this programme in line with UK GDPR. Do not enter a person’s details into the portal without their knowledge.
Either of us may end this agreement at any time, for any reason, by giving written notice. No notice period is required.
If we end it because you have breached these terms, we may withhold unpaid commission. Otherwise, we will pay any commission you have properly earned up to the date it ends, subject to the £50 threshold.
On termination, stop using our name, logo and materials, and stop issuing codes. Outstanding codes already issued to customers will still be honoured for those customers.
Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.
Subject to that, our total liability to you under this agreement is limited to the commission paid or payable to you in the 12 months before the claim arose.
We are not liable for loss of profit, loss of business, or any indirect or consequential loss.
We may update these terms. We will give you 30 days’ notice of any material change by email. If you continue to refer customers after that, you accept the new version.
This agreement is the whole agreement between us on this subject. If any part of it is unenforceable, the rest still applies. Failing to enforce something once does not waive the right to enforce it later.
You may not transfer this agreement to anyone else without our written consent.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
