TrueVitals Terms of Use
1. Introduction
Welcome to TrueVitals! These Terms of Use (the "Terms") govern your access to and use of the TrueVitals website, platform, and services. TrueVitals is a UK-based health and wellness optimisation company offering personalised blood panel insights to help you understand and improve your well-being. By accessing or using our website or services (collectively, the "Service"), you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use TrueVitals.
We may update or modify these Terms from time to time. Changes will be posted on our website with an updated revision date, and we encourage you to review the Terms periodically. Your continued use of the Service after any changes are posted constitutes your acceptance of the revised Terms. If you do not agree with any amendments, you should stop using the Service.
Please also review our Privacy Policy, which explains how we collect, use, and protect your personal data. The Privacy Policy is incorporated by reference into these Terms. These Terms, together with our Privacy Policy and any other policies or guidelines we may provide in relation to the Service, form a legally binding agreement between you ("User" or "you") and TrueVitals ("TrueVitals", "we", "us" or "our"). We recommend that you print or save a copy of these Terms for your records.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "TrueVitals" refers to TrueVitals (the company providing the Service) and its affiliates, employees, and agents. "we", "us" and "our" refer to TrueVitals.
- "Service" means the TrueVitals website, platform, and related services that provide personalised health and wellness insights based on blood panel results, including any content, features, tools, or reports provided through the platform.
- "User" (or "you") means any person who accesses or uses the Service.
- "GP" means a General Practitioner, i.e. a qualified medical doctor in primary care. When we refer to consulting your GP, it means seeking advice or treatment from a doctor or appropriate healthcare professional.
- "Insights" or "Report" refers to the personalised blood panel analysis, results, interpretations, or wellness recommendations that TrueVitals provides to you as part of the Service.
3. Eligibility (Age Requirement)
The Service is intended only for users who are 18 years of age or older. By using TrueVitals, you represent and warrant that you are at least 18 years old. Individuals under the age of 18 are not permitted to register an account or use the Service, and we do not knowingly collect personal information from anyone under 18. If you are under 18, you must not attempt to use or access TrueVitals.
4. Description of Services
TrueVitals provides a platform for health and wellness optimisation by offering personalised insights based on your blood test panels. Our Service includes analyzing certain biomarkers from your blood samples and generating reports or recommendations to help you understand trends and potential areas for improvement in your general wellness. Please note: TrueVitals is not a medical diagnostic service or healthcare provider. We offer informational insights to empower your wellness journey, but we do not diagnose medical conditions and we do not provide medical treatment or prescriptions.
Any information or guidance you receive from TrueVitals is intended for informational and educational purposes only. The content and insights we provide are based on the data from your blood panels and general scientific and nutritional knowledge, but they are not tailored to diagnose, treat, cure, or prevent any disease or medical condition. Always use your own judgment and consult with a healthcare professional regarding how to use or interpret the information from our Service.
Use of Your Health Data: By using our Service, you understand and agree that we may use your health and lifestyle data (after removing all personally identifying information) for research purposes and may share or sell such anonymized data to third parties including research institutions, pharmaceutical companies, and other organizations for scientific research and product development. This use of anonymized data helps us keep our services affordable and advance health research. For full details, please see our Privacy Policy.
5. Medical Disclaimer (No Medical Advice)
Your health and safety are extremely important to us. However, it is critical to understand the limitations of our Service. TrueVitals is a wellness information service, not a medical service, and by using it you acknowledge the following:
- Not a Substitute for Medical Advice: The insights and reports provided by TrueVitals do not constitute medical advice or professional medical opinion. Our Service should never be used as a substitute for advice, diagnosis, or treatment from a qualified healthcare provider such as your GP. For example, any information we provide should not replace the advice of your doctor or other healthcare professional.
- No Doctor-Patient Relationship: Using TrueVitals does not create a doctor-patient relationship between you and us. TrueVitals' team may include nutritionists or scientists, but we are not acting as your doctor or medical practitioner. The Service provides health information only and is not intended to be used for the diagnosis of any medical condition.
- Informational Use at Your Own Risk: All information, content, and recommendations you obtain through TrueVitals are used at your own risk and discretion. While we strive to provide accurate and useful insights, you assume full responsibility for how you interpret and act upon the information. Never delay or disregard seeking medical advice because of something you read on our site or in your TrueVitals report. If anything in your results is unclear or concerning, always consult your GP or a qualified healthcare professional for guidance.
- Consult Your Doctor: We strongly advise you to consult with your GP or another qualified healthcare provider before making any significant changes to your diet, exercise, medication, or lifestyle based on TrueVitals' insights. Always seek your doctor's advice to interpret results, especially if you have an existing health condition or are on medication. If you have any pre-existing illness or condition, you should get guidance from your doctor before using our Service or acting on our recommendations.
- Not for Emergencies: Do not use TrueVitals in a medical emergency. The Service is not a substitute for emergency medical services. If you experience severe symptoms or a health crisis, call 999 (or your local emergency number) or seek immediate medical attention right away. Never rely on an online service for urgent or life-threatening issues.
- No Guarantee of Accuracy or Efficacy: The scientific research around wellness and biomarkers is continually evolving. While we use current research to inform our insights, we do not guarantee that the information is up-to-date, complete, or error-free. The insights are provided "as is" (see Disclaimers below) and may not apply to your specific circumstances. Always use common sense and professional medical advice when evaluating any wellness recommendations.
- Your Responsibility: You remain solely responsible for your health and actions. You agree that any decisions or actions you take regarding your health or lifestyle based on information from TrueVitals are at your own risk. If TrueVitals flags a result or suggests that you seek medical advice, it is your responsibility to act on that advice and consult a healthcare professional as needed. TrueVitals will not be liable for any consequences (including injury or harm) that result from you relying on our Service without consulting appropriate medical professionals.
In summary, TrueVitals is not a medical service, and we do not give medical advice or diagnoses. Our Service is intended to complement your pursuit of wellness, but it cannot replace proper medical care or GP consultations. Always consult a doctor for medical concerns or before taking action on health information. If you have any doubts about how to interpret your results, use TrueVitals as a starting point for discussion with your healthcare provider.
6. User Obligations and Acceptable Use
By using TrueVitals, you agree to the following obligations and rules of acceptable use. These are important requirements to ensure that the Service remains safe, lawful, and useful for all users:
- Provide Accurate Information: You agree to provide true, accurate, and complete information about yourself whenever prompted (for example, when creating an account or submitting a blood sample for analysis). You must provide complete and accurate information on any forms or labels related to the Service. You acknowledge that if you provide any information that is false, incomplete, or misleading, it may result in inaccurate or unusable insights or reports, and TrueVitals is not responsible for any consequences arising from such inaccurate information.
- Personal Use Only: The Service and all content are provided for your personal, non-commercial use only. You agree not to use TrueVitals (including any reports or content you obtain) for commercial purposes, and you will not sell, resell, or exploit the Service or content for any commercial gain. We grant you a limited license to use our Service for personal wellness purposes only. Commercial use or republication of our content without permission is strictly prohibited.
- Account Responsibility: If you create a TrueVitals account, you must keep your login credentials confidential. You are responsible for all activities that occur under your account. You should use a strong password and not share it with anyone. If you suspect any unauthorized use of your account, you must notify us immediately. We are not liable for any loss or damage arising from your failure to adequately safeguard your account credentials. You also agree not to allow any other person (especially anyone under 18) to use your account or the Service under your identity.
- Lawful and Proper Use: You agree to use TrueVitals only for lawful purposes and in accordance with these Terms. You must not use the Service in any way that breaches any applicable local, national, or international law or regulation. Any content you provide to us (for example, if there are questionnaires or profile information) must not be defamatory, obscene, discriminatory, or infringing on any third-party rights. You also agree not to use the Service to harass, abuse, or harm anyone.
- No Harmful Interference: You must not misuse the Service by introducing viruses, malware, or any other harmful code. You agree not to attack our website or servers or attempt to gain unauthorised access to our systems. Any interference with our security measures is prohibited and may be a criminal offense under applicable law.
- Respect Intellectual Property: You must respect all intellectual property rights in the Service (see Intellectual Property section below). This means you will not copy, reproduce, modify, distribute, or create derivative works from any part of our Service or content without our prior written permission, except as expressly allowed by these Terms or by law. You will not remove or obscure any copyright, trademark, or other proprietary rights notices on the TrueVitals website, reports, or any content.
- No Improper Use: You agree not to use the Service for any unauthorized or harmful purpose. This includes refraining from any activities that could damage, disable, overburden, or impair the Service (e.g., attempting to scrape data in bulk, deploying automated scripts or bots in a manner that disrupts the Service, or using the Service to disseminate spam or advertisements). We reserve the right to monitor usage and to take appropriate action (such as suspension or termination of access) against any user who is engaged in misuse of the Service or is otherwise violating these Terms.
By adhering to these rules, you help us maintain a reliable and trustworthy Service. If you violate any of the above obligations, it may result in immediate suspension or termination of your account or access to the Service, and we may take legal action if the circumstances warrant. TrueVitals also reserves the right to report any unlawful conduct to the appropriate authorities.
7. Fees and Payments
TrueVitals offers both individual one-off test panels and an optional annual membership that provides discounted pricing on these panels. This section explains how our fees and payments work:
- One-Off Panel Purchases: You may purchase individual blood test panels on a pay-as-you-go basis. Pricing for each panel is displayed clearly on our website at the time of order and includes any applicable VAT unless otherwise stated. These panels are standalone and do not require a subscription.
- Annual Membership (Optional): TrueVitals offers an optional yearly membership, which provides access to discounted pricing across all panel purchases for 12 months from the date of activation. The membership is entirely optional and is not required to access or purchase our services.
- Auto-Renewal: Unless cancelled within the 14-day cooling-off period (see Section 8), the annual membership will automatically renew at the end of the 12-month period using the original payment method provided. You will be notified in advance of any upcoming renewal and any changes in pricing.
- Cancellation Terms: You may cancel your membership within 14 days of purchase unless you have already used it to obtain a discount on any panel. Once a discounted panel has been purchased using the membership, or the 14-day cancellation period has passed (whichever occurs first), the membership becomes non-refundable and non-cancellable for the remainder of the year.
- No Refunds After Use: If you purchase a discounted panel during the 14-day period, this will be treated as a request to commence services immediately, and your right to cancel the membership will be waived. In such cases, no refund will be provided for the remaining membership term, even if you do not purchase additional panels.
- Payment and Billing: Payment for panels and memberships must be made in full at the time of purchase using a valid debit or credit card. You represent that you are authorised to use the payment method provided and that all billing information is accurate and complete. We may use secure third-party payment processors; by using our Service, you agree to their terms.
- Failed Payments and Access Restrictions: If a payment attempt fails or is reversed, your access to discounted pricing or results may be suspended until payment is successfully processed. We reserve the right to cancel any membership or order where payment is not received or is later disputed.
- Price Changes: We may change the pricing of memberships or panels at any time. Changes to membership fees will only apply upon renewal. You will be notified in advance of any change and given the opportunity to cancel before renewal if you do not agree.
All payments are subject to our cancellation and refund policy in Section 8. For clarity, one-off panel purchases are separate transactions and not part of a recurring service plan.
8. Cancellation and Refunds
We want you to have flexibility in using TrueVitals. If you decide to cancel a subscription or order, here's what you need to know:
- Your 14-Day Right to Cancel (Cooling-Off Period): If you purchase a Service or subscription from TrueVitals as a consumer online or by other distance means, you have a legal right to cancel the contract within 14 days without giving any reason. This 14-day cancellation period (the "cooling-off period") starts the day after the contract is formed (for example, if you subscribed on the 1st of the month, you can cancel up to and including the 15th of that month). To exercise this right, you must inform us of your decision to cancel before the 14-day period expires. You can do so by contacting our customer support (for example, by email or through the contact form on our website) and clearly stating that you wish to cancel. We will promptly acknowledge receipt of your cancellation request.
- Commencement of Services during Cooling-Off: If you ask us to begin providing services within the 14-day cooling-off period (for instance, if you request an analysis or we dispatch a test kit immediately) and we fully perform the service during that period, you may lose your right to cancel in respect of that service. In other words, if the service has been fully completed before the 14 days are up (with your prior request that we start), you cannot later cancel and obtain a refund for that service. We will make this clear at the time you request expedited service. This does not affect your rights to cancel any ongoing or future services not yet performed.
- Refunds for Timely Cancellations: If you cancel within the 14-day cooling-off period and the above exception does not apply, we will refund all payments received from you for the cancelled service/subscription. Refunds will be processed as soon as possible, and in any event within 14 days from the day on which you informed us of the cancellation. We will refund you using the same payment method you used for the initial transaction, unless we agree otherwise. (If you requested us to start the service during the cooling-off period and we partially performed the service before cancellation, we may deduct a proportionate amount to cover the services provided up to the point of cancellation, as permitted by law.)
- Cancelling Your Subscription (After Cooling-Off): In addition to your statutory rights above, you may cancel your TrueVitals subscription at any time. If you wish to cancel a subscription after the 14-day cooling-off period has passed, you can do so through your account settings on our website or by contacting our customer support. Unless otherwise stated in an ongoing promotion or specific plan, a cancellation will take effect at the end of your current billing period. This means you will not be charged for subsequent periods, but you generally will not receive a refund for any remaining days in the current period after you cancel. For example, if you cancel in the middle of a month for which you've already paid, you will retain access to the Service until the end of that paid month, and your subscription will then terminate without a renewal charge.
- Confirmation of Cancellation: When you cancel a subscription, we will send you an email confirming the cancellation and letting you know how long you will continue to have access (i.e., until the end of the paid term). We recommend saving this confirmation for your records.
- Our Cancellation Rights: If at any time we decide to stop providing the Service (in whole or in part) or discontinue a subscription offering, we reserve the right to cancel your subscription. In such case, we will give you as much prior notice as reasonably possible. If we cancel a paid Service that you have already paid for (and you are not in breach of these Terms), we will issue you a pro-rata refund for any period of your subscription that you have paid for but will not be able to use due to our termination of the Service.
Nothing in this section affects your statutory rights. For example, you still have rights in cases where goods or services are faulty or not as described. For more information on your rights, you can visit the UK Citizens Advice website or consult the Consumer Rights Act 2015.
9. Intellectual Property Rights
TrueVitals owns and retains all right, title, and interest in and to the Service and all content and materials made available through the Service, except for content you provide. Unless otherwise indicated, the Service and its entire contents, features, and functionality (including but not limited to all information, text, graphics, images, video, data, software, and the design, selection and arrangement thereof), are the proprietary property of TrueVitals or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
All trademarks, logos, product names, and company names on the Service are the property of their respective owners. TrueVitals's name, logo, and all related names and designs are trademarks of TrueVitals. You are not granted any right or license to use any of the trademarks displayed on the Service without our prior written permission.
License to Use the Service
Subject to your compliance with these Terms, TrueVitals grants you a personal, non-exclusive, non-transferable, revocable, limited license to access and use the Service and its content for your own personal, non-commercial use. This license allows you to view content on our website, download or print your personal TrueVitals reports for your records or to discuss with your healthcare providers, and use our tools and features as intended for individual wellness purposes. No other use is permitted. You may not copy, reproduce, distribute, publicly display, create derivative works of, republish, download, or transmit any of the material on our Service except as follows:
- You may temporarily store copies of materials incidental to your personal viewing and usage (e.g., caching in your browser).
- You may print or download reports or pages for your personal use and reference, but you must not remove any copyright, trademark, or other proprietary notices. For example, you are allowed to download your TrueVitals health report to show your doctor or keep for yourself.
- If sharing certain content (such as a blog article or infographic from TrueVitals) on social media or with friends, you may do so using any sharing functionality provided on our site or by providing an appropriate credit or link back to the source. However, you must not mass-reproduce or publish our content without permission.
If you breach any of the terms of this license, your right to use our Service will cease immediately and you must, at our option, return or destroy any copies of materials you have made. We reserve all rights not expressly granted to you in these Terms. This means that any use of the Service or content outside of what is expressly permitted by these Terms is prohibited.
User-Provided Content and Feedback
Currently, TrueVitals' Service is primarily one-way (we provide insights based on your data). If in the future our Service allows you to post or submit content (such as comments, testimonials, or questions on forums), any content that you submit must comply with the Acceptable Use rules in Section 6. We do not claim ownership of any data or content you may provide (such as your blood test results or personal information); however, you grant us a license to use that data as needed to perform the Service and as described in our Privacy Policy.
If you provide us with any feedback, suggestions, or ideas about TrueVitals, you agree that such Feedback is given voluntarily and we may use it to improve our services.
10. Privacy and Data Protection
Your privacy is extremely important to us. TrueVitals will collect, use, store, and process personal data (such as your identity and contact details, health-related information from your blood tests, and usage data from our platform) in accordance with applicable UK data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, as well as our published Privacy Policy.
Please carefully review our Privacy Policy (available on our website), which explains what personal information we collect, why we collect it, how we use it, and the choices you have regarding your data. By using the Service, you acknowledge that you have read and understood our Privacy Policy and agree to the collection and use of your data as described in that policy. If you do not agree with our data practices, please do not use the Service.
Key points regarding privacy include:
- Use of Data: The personal information you provide to TrueVitals (such as your name, contact details, and health data) will be used only for legitimate purposes related to providing and improving the Service, fulfilling our obligations to you, and as otherwise described in our Privacy Policy. We do not sell your personal data to third-party marketers.
- Confidentiality: Health information is sensitive. We treat your blood test results and health insights as confidential medical data. We implement industry-standard security measures to protect your data. However, no system can be 100% secure, so please understand that you transmit information to us at your own risk.
- Third-Party Processors: We may share data with trusted third parties who assist us in providing the Service (for example, accredited laboratories that analyze your blood samples, IT hosting providers, or payment processors). Whenever we share data, it is done pursuant to contracts that require those third parties to only use the data for our purposes and to protect it in accordance with the law.
- Your Rights: As a data subject, you have certain rights under data protection law. These may include the right to access the information we hold about you, to correct inaccuracies, to delete certain data, to restrict or object to processing, and to data portability. The Privacy Policy explains how you can exercise these rights and our contact information for privacy queries.
- Cookies and Tracking: Our website uses cookies and similar technologies to enhance user experience and analyze usage. Details are provided in our Cookie Policy or Privacy Policy. By using the Service, you consent to our use of cookies as described in those policies.
If you have questions about our privacy practices or data handling, you can contact us via the details provided in the Privacy Policy. Remember, by using TrueVitals, you are agreeing that we can process your personal data in the ways described — always in line with applicable law and with your privacy in mind.
11. Disclaimers of Warranties
TrueVitals is provided on an "as is" and "as available" basis. While we strive to offer the best possible service, we make no warranties or representations of any kind, express or implied, about the Service's completeness, accuracy, reliability, suitability, availability, or performance. To the full extent permitted by law, TrueVitals disclaims all warranties, conditions, or other terms of any kind (express or implied) in relation to the Service and content, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement.
Some jurisdictions do not allow the exclusion of certain warranties or conditions. If such laws apply to you, some of the above disclaimers may not apply to the extent prohibited. In such case, TrueVitals's warranties shall be limited to the minimum extent required by applicable law.
12. Limitation of Liability
Please read this section carefully – it limits TrueVitals's liability to you. Nothing in these Terms excludes or limits our liability where it would be unlawful to do so. We do not exclude or limit liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under English law. However, beyond these essential matters, TrueVitals will not be liable for certain types of losses or damages as described below.
- No Medical Liability: TrueVitals shall not be liable for any injury, loss, or damage resulting from your use of the Service as a substitute for medical advice or failure to seek proper medical care. If you rely on information provided by TrueVitals without consulting healthcare professionals and you experience adverse consequences, we will not be responsible for those outcomes. In particular, we are not liable for any harm that could have been avoided if you had obtained or followed medical advice in a timely manner. (For example, if our report suggested you consult a doctor and you chose to ignore that recommendation, we are not liable for any resulting worsening of your condition.)
- Indirect or Consequential Losses: TrueVitals is not liable for any indirect, incidental, special, exemplary, or consequential losses or damages arising from your use of (or inability to use) the Service. This includes, without limitation, loss of opportunity, loss of income or revenue, loss of business or anticipated savings, loss of data, or loss of goodwill. If such losses occur, even if they were foreseeable, we will not compensate you for them. We only provide the Service for domestic and private use to consumers – we have no liability to you for any loss of profit or business or other commercial damages if you use our Service for any commercial or business purposes.
- Foreseeable Losses Only: In any event, TrueVitals will only be responsible for losses or damages that are a reasonably foreseeable result of our breach of these Terms or our negligence. We will not be liable for any alleged damages that were not foreseeable by both you and us at the time you agreed to these Terms. Also, we will not be responsible for any loss which is attributable to your own actions or failure to act (such as not following a doctor's advice or not adhering to instructions for using a test kit) or which could have been avoided by you taking reasonable precautions.
- Third-Party Acts and Events Outside Our Control: TrueVitals is not responsible for any loss or damage caused by any third-party services or external events beyond our control. For instance, if a laboratory we partner with mislabels a sample, or if there is an outage in a third-party data center that affects our Service, or if an event like a natural disaster or pandemic interrupts our operations, we shall not be liable for resulting damages as these are outside our reasonable control. We also do not assume liability for third-party websites or content that may be linked to or from our Service – if you follow a link to an external site, you do so at your own risk.
- Maximum Liability Cap: Except for the types of liability we cannot limit by law (described at the start of this section), the maximum total liability of TrueVitals and its officers, directors, employees, and agents to you for all claims arising out of or in connection with your use of the Service or these Terms, shall be limited to the greater of £100 or the total amount (if any) you have paid to us for the Service in the 12 months immediately before the event giving rise to the liability. This cap applies whether the claim is based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not TrueVitals has been advised of the possibility of such damages.
- No Duplication of Remedies: If you happen to have multiple grounds for recovering losses or damages from us (e.g., under contract and tort), you understand that you cannot recover more than the total cap amount once. The cap is not multiplied for multiple claims. Also, any claims must be brought by you as an individual consumer; TrueVitals shall not be liable for any claims or losses on behalf of third parties.
Important: This Limitation of Liability section does not affect your statutory rights as a consumer. You have certain rights under law, including that services must be provided with reasonable care and skill and within a reasonable time. While we disclaim and limit our liability as allowed by law, we do not exclude liability for failure to perform our obligations with reasonable care and skill to the extent that such liability cannot be excluded by law. In the event that any exclusion or limitation of liability in these Terms is held unenforceable, the remaining limitations shall still apply to the fullest extent permitted by applicable law.
13. Termination
Both you and TrueVitals have the right to terminate this agreement under certain circumstances:
- Your Right to Terminate: You are free to stop using TrueVitals at any time. If you wish to delete your account, you may do so by contacting us or, if available, through the account settings on our platform. Terminating your account will end your ability to log in and use the Service. Keep in mind that if you have an active subscription, simply deleting your account or the app may not automatically cancel billing – please ensure you have canceled any subscriptions per Section 8 to stop further charges.
- Our Right to Terminate or Suspend: We may suspend or terminate your access to the Service (or portions of it) immediately if you violate these Terms, if we suspect that your use is causing harm or legal liability (for example, fraudulent, abusive, or unlawful activity), or if we are required to do so to comply with law or the order of a court or regulator. In less urgent situations, we will attempt to notify you of the breach and give you an opportunity to rectify it before termination. We also reserve the right to terminate the Service or your account for convenience (for example, if we discontinue the Service entirely) by providing reasonable notice.
- Effect of Termination: Upon termination of your account or this agreement for any reason, your right to access or use the Service will immediately cease. We may disable your account and, subject to applicable data retention policies, delete your information. If we terminate your account for a breach of the Terms, you will not be entitled to any refunds of fees you have paid. If we terminate the Service entirely or terminate your account for convenience (not due to your breach), and you have paid for a subscription beyond the termination date, we will refund the unused portion of your subscription fee.
- Survival: The following provisions of these Terms (and any others that by their nature should survive termination) will remain in effect even after termination of the agreement between us: Definitions, Medical Disclaimer, User Obligations (to the extent applicable after termination), Intellectual Property Rights, Privacy (to the extent we retain your data), Disclaimers of Warranties, Limitation of Liability, Governing Law & Dispute Resolution, and Miscellaneous.
Termination of your TrueVitals account or access does not relieve you of any obligations that arose prior to termination. If you owed any fees or breached any terms causing damage to us, you remain responsible even after the account is closed.
14. Governing Law and Dispute Resolution
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of England and Wales. If you are a consumer resident in Scotland or Northern Ireland, you additionally retain the protection of the mandatory provisions of the laws of your country of residence, and nothing in these Terms affects your rights under those laws.
In the event of any dispute or disagreement between you and TrueVitals, we strongly encourage you to contact us first to attempt to resolve the issue informally. You can reach our support team using the contact details on our website, and we will do our best to address your concerns. Most user concerns can be resolved through our support team without the need for further action.
If we cannot resolve a dispute informally, then, subject to the paragraph below, you and we agree that the courts of England and Wales will have non-exclusive jurisdiction. Non-exclusive jurisdiction means that if you are a resident of a country in the UK (e.g., Scotland or Northern Ireland), you may choose to bring legal proceedings either in the courts of England and Wales or in the courts of your home country. Likewise, if you live in another country, you may also be able to bring proceedings there if mandatory consumer law allows. We value our users in all jurisdictions, but by providing our Service from the UK, we anticipate that any legal matters will typically be handled in the UK.
If you are a consumer in the UK or EU, you might have the right to refer certain disputes to alternative dispute resolution ("ADR") entities or use the EU Online Dispute Resolution platform. However, please note that we are not obligated to submit to any ADR procedure except as required by law.
This Governing Law and Dispute Resolution section does not limit or affect any rights you may have under applicable consumer protection laws, including the right to seek mediation or to file a claim in the courts of your domicile for disputes that you are legally permitted to bring there.
15. Miscellaneous Provisions
Entire Agreement: These Terms (together with our Privacy Policy and any other documents expressly referred to within them) constitute the entire agreement between you and TrueVitals regarding your use of the Service, and they supersede all prior or contemporaneous understandings, agreements, communications, and proposals, whether oral or written, related to your use of the Service. You acknowledge that you have not relied on any representation or warranty not explicitly stated in these Terms.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or other competent authority, that provision (or the offending part of it) shall be deemed deleted or limited to the minimum extent necessary, and the remaining provisions of the Terms will continue in full force and effect. In other words, the invalid part will be severed, but the rest of the agreement remains binding.
No Waiver: If TrueVitals fails to exercise or enforce any right or provision of these Terms, that does not mean we have waived our right to do so. No waiver by TrueVitals of any term shall be deemed a further or continuing waiver of that term or any other term. To be effective, any waiver of rights or provisions must be in writing and signed by us.
Assignment: TrueVitals may transfer, assign, or subcontract our rights and obligations under these Terms to another organization (for instance, if we undergo a business merger, acquisition, or reorganization), and we will notify you if this happens. Such a transfer will not affect your rights under these Terms. You may not transfer or assign your rights or obligations under these Terms to anyone else without our prior written consent, as these Terms are personal to you as the user.
Notices: We may provide notices or communications to you through the Service (e.g., via in-app notification), by email to the address associated with your account, or by postal mail. You are responsible for keeping your contact information up-to-date. Official notices to us should be sent by email to our support address or in writing to our registered business address (available on our website).
By using the TrueVitals Service, you acknowledge that you have read, understood, and agreed to these Terms of Use. We appreciate your trust in TrueVitals for your health and wellness insights, and we are committed to providing you with a valuable service while protecting your rights and safety. Thank you for reading these Terms carefully and for being a part of the TrueVitals community!
